Terms of Service

1. Acceptance of Terms

The Sekura platform at sekuratrust.com is operated by Sekura LLC, a Minnesota limited liability company ("Sekura," "the platform," "we," "us," or "our"). By accessing or using the platform, you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Trust Agreement. Together, these documents govern your use of the platform.

If you do not agree with any part of these Terms, you must not use the platform. Creating an account, funding a contract, or otherwise using Sekura's services constitutes your acceptance of these Terms.

These Terms apply to all users of the platform, including buyers, sellers, and shippers.

2. Eligibility

To use Sekura, you must:

  • Be at least 18 years of age.
  • Be a legal resident of the United States or have the legal capacity to enter into contracts under U.S. law.
  • Provide accurate, current, and complete information during registration and keep your account information up to date.
  • Not have been previously suspended or removed from the platform.

By using Sekura, you represent and warrant that you meet all of the above requirements. If you are using the platform on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration

To use most features of Sekura, you must create an account. When registering, you agree to:

  • Provide your real name and a valid email address.
  • Create a strong password and keep it confidential.
  • Maintain only one account per person. Multiple accounts for the same individual are not permitted.
  • Notify Sekura immediately if you suspect unauthorized access to your account.

You are responsible for all activity that occurs under your account, whether or not you authorized it. Sekura is not liable for any loss or damage resulting from unauthorized use of your account.

Sekura reserves the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or are used for fraudulent purposes.

4. Platform Description

Sekura is a technology platform that facilitates trust in peer-to-peer transactions for high-value items. Sekura solves the "who sends first" problem by holding the buyer's funds until both parties confirm that pre-agreed conditions have been met.

What Sekura is:

  • A technology platform that provides condition-based fund holding between private parties.
  • A tool that helps buyers and sellers transact with confidence by creating a structured, verifiable process.
  • An orchestrator that secures funds within each user's own Stripe Connected Account until transaction conditions are satisfied.

What Sekura is not:

  • Not a bank or financial institution. Sekura does not accept deposits, pay interest, or provide banking services.
  • Not a licensed escrow company, money transmitter, or financial institution. Sekura is a technology platform that orchestrates fund release programmatically. All fund custody is performed by Stripe within users' own Stripe Connected Accounts.
  • Not a marketplace. Sekura does not list items for sale, does not match buyers with sellers, and does not set prices. Users bring their own transactions to the platform.
  • Not a shipping or logistics company. Sekura does not employ, dispatch, or manage shippers.

5. Sekura's Trust Service

Sekura's core service is condition-based fund release. When a buyer and seller agree to a transaction, they create a contract on Sekura that specifies the item, price, and conditions that must be completed. The buyer deposits funds into their own Stripe Connected Account, and Sekura secures those funds against the contract until all conditions are met. Upon completion, funds are released to the seller's linked bank account via Stripe.

The detailed terms governing fund commitment, conditions, release, refunds, and disputes are set forth in the Trust Agreement, which is incorporated into these Terms by reference. By using Sekura's services, you agree to the Trust Agreement in its entirety.

6. Fees and Payments

Sekura charges a platform fee of 1.5% of the item price on funded contracts. The fee is paid by the buyer and is added on top of the item price at the time of funding. The seller receives the full item price upon contract completion. Fee details are displayed during the contract creation process and on the contract page before funding.

Fee changes. Sekura reserves the right to modify its fee structure at any time. Changes to fees will be communicated to users via email or in-platform notification at least 14 days before taking effect. Fee changes do not apply to contracts that are already active at the time of the change.

Payment processing. All payments on Sekura are processed through Stripe. By using Sekura, you also agree to Stripe's terms of service. Sekura is not responsible for payment processing errors, delays, or fees imposed by Stripe or your financial institution.

Deposit and withdrawal timelines. Deposits to a user's Stripe Connected Account are made via ACH bank transfer and typically take 3-5 business days to settle. Funds are not available for use until settlement is confirmed. Withdrawals to a user's linked bank account are processed via Stripe and typically arrive within 1-2 business days.

Taxes. Users are responsible for determining and paying any taxes that apply to their transactions. Sekura does not collect sales tax, withhold income tax, or provide tax advice. Sekura may issue tax reporting forms (such as 1099s) as required by law.

7. User Conduct

When using Sekura, you agree to:

  • Provide accurate and truthful information in all contracts, item descriptions, and communications.
  • Cooperate in good faith with the condition completion process, including document uploads, item inspections, and signature requests.
  • Not misrepresent the condition, authenticity, ownership, or legal status of any item.
  • Not use the platform to facilitate fraudulent, illegal, or deceptive transactions.
  • Not attempt to circumvent the condition system, manipulate fund releases, or exploit platform features.
  • Not harass, threaten, or abuse other users of the platform.
  • Respond to contract actions (acceptance, signing, condition completion) in a reasonable timeframe.

Sekura reserves the right to investigate and take action against any user who violates these conduct standards, including suspension or termination of their account and forfeiture of platform access.

8. Prohibited Items and Activities

You may not use Sekura to transact any of the following:

  • Stolen property or items you do not have legal authority to sell.
  • Items with undisclosed liens, encumbrances, or legal claims against them.
  • Illegal drugs, controlled substances, or drug paraphernalia.
  • Firearms, ammunition, explosives, or weapons of any kind.
  • Counterfeit goods, forged documents, or items that infringe on intellectual property rights.
  • Hazardous materials or items that cannot be legally shipped or transferred.
  • Living animals.
  • Any item or service that is illegal to sell, buy, or possess under federal, state, or local law.

You may not use Sekura for:

  • Money laundering, terrorist financing, or any other financial crime.
  • Transactions where both the buyer and seller are the same person or entity.
  • Creating contracts with no genuine intent to complete a transaction.
  • Any activity that violates applicable laws or regulations.

Sekura reserves the right to refuse, suspend, or cancel any transaction that involves prohibited items or activities, and to report suspected illegal activity to law enforcement.

9. Disputes Between Users

Sekura's platform is designed to prevent disputes through its condition-based verification system. Both parties agree to conditions before a contract becomes active, and funds are only released when all conditions are met.

If a dispute arises between users, Sekura provides tools to help facilitate resolution, including the "Report an Issue" feature and mutual cancellation. The full dispute resolution process is described in Section 11 of the Trust Agreement.

Sekura is a facilitator, not an arbitrator. Sekura does not adjudicate disputes, make binding determinations about item quality or value, or compel either party to take action. If users cannot resolve a dispute through the platform, they may need to pursue resolution through legal channels.

Disputes with Sekura. If you have a dispute with Sekura itself (as opposed to another user), you agree to first attempt to resolve it by contacting us at support@sekuratrust.com. If we cannot resolve the matter informally, disputes will be resolved in accordance with Section 15 (Governing Law) of these Terms.

10. Limitation of Liability

Sekura is a technology platform. We provide the software and infrastructure that enables condition-based fund holding between private parties. We do not take possession of items, inspect items, guarantee item descriptions, or verify user identities beyond standard account registration.

To the maximum extent permitted by law:

  • Sekura's total liability for any claim arising from or related to these Terms or the use of the platform shall not exceed the total fees paid by you to Sekura in the twelve (12) months preceding the claim.
  • Sekura shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
  • Sekura is not liable for the acts, omissions, or conduct of any buyer, seller, or shipper.
  • Sekura is not liable for delays, interruptions, or errors in the platform's operation.

No warranty. The platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. Sekura does not warrant that the platform will be uninterrupted, error-free, or secure, or that it will meet your specific requirements.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sekura, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the platform or participation in any transaction.
  • Your violation of these Terms, the Trust Agreement, or any applicable law.
  • Any content, documents, or information you upload or provide through the platform.
  • Any dispute between you and another user of the platform.
  • Your negligence, fraud, or willful misconduct.

This indemnification obligation survives the termination of your account and these Terms.

12. Intellectual Property

Sekura's property. The Sekura platform, including its design, code, features, branding, logos, and documentation, is owned by Sekura and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the platform without our written permission.

Your content. When you upload content to Sekura — such as item descriptions, photographs, documents, or other materials — you retain ownership of that content. However, you grant Sekura a non-exclusive, worldwide, royalty-free license to use, store, display, and process your content as necessary to provide and improve the platform's services. This license continues for the duration of your account and for a reasonable period after account closure to support record-keeping and legal compliance.

Feedback. If you provide suggestions, ideas, or feedback about the platform, Sekura may use them without obligation or compensation to you.

13. Termination

By Sekura. We may suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to: violation of these Terms, fraudulent activity, failure to cooperate with active contracts, or conduct that harms other users or the platform. If your account is terminated while you have active contracts, Sekura will make reasonable efforts to resolve open transactions before closure.

By you. You may close your account at any time by contacting support@sekuratrust.com. Before closing your account, you must complete or withdraw from all active contracts and withdraw any remaining balance. Account closure does not release you from obligations under contracts that were active during your use of the platform.

Effect of termination. Upon termination, your right to use the platform ceases immediately. Sections of these Terms that by their nature should survive termination — including Limitation of Liability, Indemnification, Intellectual Property, and Governing Law — will continue to apply.

14. Modifications to Terms

Sekura reserves the right to modify these Terms at any time. When changes are made, we will update the "Last updated" date at the top of this page. For material changes, we will notify users via email or an in-platform notification at least 14 days before the changes take effect.

Continued use of the platform after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree with the modified Terms, you should stop using the platform and close your account.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles.

Any legal action or proceeding arising out of or related to these Terms or the use of the platform shall be brought exclusively in the state or federal courts located in the State of Minnesota. You consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.
